1. Acceptance of Terms
By using The Brand Managers website, engaging our services, or entering into any agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These Terms apply to all users of our services, including website visitors, prospective clients, and contracted clients who access our event management and marketing services.
2. Use of Services
To ensure our services operate professionally and legally, we require users to adhere to certain rules and conditions regarding access and use of our services. Below are the guidelines that you must follow:
Eligibility: You must be at least 18 years of age and have the legal authority to enter into contracts to access or use our services.
Account Creation: To access certain features of our services, you may be required to create an account or provide contact information. You are responsible for maintaining the confidentiality of your account information, including passwords, and for all activities that occur under your account.
Prohibited Activities: You agree not to misuse The Brand Managers' services. This includes but is not limited to:
Using our services for unlawful purposes or promoting illegal activities
Attempting to gain unauthorized access to our systems or other users' accounts
Uploading harmful content such as viruses or other malicious software
Harassing, threatening, or defaming other users or our staff
Providing false or misleading information about yourself or your business
Using our services to compete directly with The Brand Managers
3. Service Agreements
The Brand Managers provides event management and marketing services under specific agreements. To clarify the scope and responsibilities, we outline how our service agreements are structured:
Service Scope: We provide event management services (including corporate events, trade shows, networking events, luxury experiences, market expansion events, and hybrid/virtual events) and marketing services (including strategy, audits, website development, SEO/SEM, social media, and performance marketing) as outlined in individual service agreements.
Proposals and Contracts: All services are subject to written proposals and signed contracts. Proposals are valid for 30 days unless otherwise specified. Services commence only after signed agreements and initial payments are received.
Client Responsibilities: You are responsible for providing accurate information, timely feedback, necessary approvals, and access to required resources. Delays caused by client actions may result in schedule adjustments and additional costs.
Changes and Modifications: Any changes to agreed services must be documented in writing and may result in cost and timeline adjustments. We reserve the right to refuse modifications that compromise quality or violate our professional standards.
4. Intellectual Property
We respect intellectual property rights, both our own and those of others. This section explains how you may use our proprietary materials and what limitations apply:
Ownership: The Brand Managers and its associated content, including but not limited to methodologies, processes, templates, designs, logos, and proprietary systems, are owned by The Brand Managers or its licensors and are protected by intellectual property laws.
Client Materials: You retain ownership of materials you provide to us, including brand assets, content, and proprietary information. By engaging our services, you grant The Brand Managers a non-exclusive, royalty-free license to use your materials for the purpose of delivering agreed services.
Work Product: Materials created specifically for your projects (event designs, marketing campaigns, custom content) become your property upon full payment. However, we retain the right to use general methodologies, processes, and anonymized case studies for our business development.
Restrictions: You may not copy, modify, distribute, or create derivative works of any part of our proprietary systems without our prior written permission. You may not reverse engineer, decompile, or disassemble any software or systems used in our services.
5. Payment Terms
The Brand Managers operates under specific payment terms to ensure smooth service delivery and business operations:
Payment Schedule: Payment terms are specified in individual service agreements. Typically, we require 50% payment upon contract signing and 50% upon project completion, unless otherwise agreed.
Late Payments: Invoices are due within 30 days of issuance unless otherwise specified. Late payments may incur interest charges of 1.5% per month and may result in service suspension.
Expenses and Additional Costs: Client-specific expenses (venue costs, vendor fees, travel expenses) are billed separately and require pre-approval. All expenses are documented with receipts and invoiced at cost.
Cancellation and Refunds: Cancellation terms vary by service type and are outlined in individual agreements. Generally, work completed prior to cancellation is non-refundable, and cancellation fees may apply based on services already rendered and commitments made.
6. Limitation of Liability
The Brand Managers provides professional services with care and expertise, but certain limitations on liability apply:
Service Delivery: We commit to delivering services with professional skill and care according to industry standards. However, we cannot guarantee specific business outcomes or results from events or marketing campaigns.
Third-Party Vendors: While we carefully select and manage third-party vendors (venues, suppliers, contractors), we are not liable for their independent actions or failures beyond our reasonable control.
Force Majeure: We are not liable for delays or failures in service delivery caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, or venue/vendor failures.
Damages: Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services in question. We are not liable for indirect, consequential, or punitive damages.
7. Confidentiality
Professional confidentiality is fundamental to our business relationships:
Mutual Confidentiality: Both parties agree to maintain confidentiality of proprietary information, business strategies, and sensitive data shared during the course of our business relationship.
Non-Disclosure: We will not disclose client information to third parties except as necessary for service delivery or as required by law. Our team members and contractors are bound by confidentiality agreements.
Case Studies: We may create anonymized case studies highlighting successful projects, but will not disclose client identity or sensitive business information without written permission.
8. Termination
Either party may terminate service agreements under specified conditions:
Termination Rights: Either party may terminate agreements with written notice as specified in individual contracts. Generally, 60 days' notice is required for ongoing services.
Immediate Termination: We reserve the right to terminate services immediately if clients violate these terms, provide false information, or engage in activities that damage our reputation or business interests.
Post-Termination: Upon termination, all rights and licenses granted under these Terms will cease immediately. Confidentiality obligations and payment responsibilities survive termination.
9. Governing Law
These Terms and Conditions are governed by the laws of Germany and the United Arab Emirates, depending on the jurisdiction of service delivery. Any disputes will be resolved through arbitration in the jurisdiction where services are primarily delivered, or as specified in individual service agreements.
10. Changes to Terms
The Brand Managers reserves the right to modify these Terms and Conditions at any time. We will notify clients of material changes via email and post updated terms on our website. Continued use of our services after changes indicates acceptance of updated terms.
